Terms of Service for ProfitEcom

These Terms of Service govern the use of the ProfitEcom service operated by SUBVENTUM s.r.o.

1. What ProfitEcom is

ProfitEcom is an analytics and reporting platform intended for e-commerce businesses, companies and entrepreneurs.

The service helps customers connect and evaluate business, marketing, product, order, inventory, returns, CRM and other data according to the specific implementation.

ProfitEcom may work, for example, with data from:

  • marketing platforms,
  • web analytics platforms,
  • e-commerce platforms,
  • ERP systems,
  • PIM systems,
  • CRM systems,
  • warehouse and logistics systems,
  • customer spreadsheets,
  • other customer systems according to the implementation analysis.

The outputs of the service include in particular dashboards, reports, analytical tables, data transformations, integrations, profitability calculations and related analytical outputs.

2. Who the service is intended for

The ProfitEcom service is intended exclusively for businesses, entrepreneurs and other professional users.

The service is not intended for consumers or children.

By using the service, you confirm that you act within your business or professional activity, or that you are authorized to act on behalf of the customer using the service.

3. Contractual relationship

These Terms of Service apply to the use of the ProfitEcom service unless otherwise agreed in writing between the customer and SUBVENTUM s.r.o.

The contractual relationship may also include:

  • an order,
  • a price offer,
  • an individual agreement,
  • an implementation analysis,
  • a data contract,
  • a data processing agreement,
  • a technical specification,
  • a description of a specific plan or service scope.

In the event of a conflict, an individual written agreement with the customer takes precedence over these general Terms of Service.

4. User account

A user account is required to use the application.

Login to the application is provided through Auth0. A user may log in using e-mail and password, Google login or Microsoft Enterprise login.

The user is responsible for:

  • the accuracy of the information in their account,
  • protecting their login credentials,
  • using a secure password,
  • securing their own device,
  • ensuring that their account is not made available to an unauthorized person.

The customer is responsible for managing users, roles and permissions within its account, unless otherwise agreed.

If the customer suspects account misuse, unauthorized access or a security issue, it should contact us without delay at security@profitecom.com.

5. Demo and test access

ProfitEcom may provide demo, trial or test access.

The demo or test environment is intended only to demonstrate the service, its interface and its capabilities. It may not contain current, complete or production data.

Demo or test access may be time-limited, password-protected or changed or terminated at any time.

Unless expressly agreed otherwise, the demo environment does not create any entitlement to service availability, technical support or data retention.

6. Integrations and external systems

ProfitEcom enables connection to external systems of the customer and third parties.

The customer is responsible for ensuring that:

  • it has the right to connect the relevant system to the ProfitEcom service,
  • it has the necessary permissions to make the data available,
  • the data provided to ProfitEcom is obtained and processed in accordance with applicable laws,
  • connecting the integration does not violate the terms of third parties,
  • the persons authorizing the integration are authorized to do so.

ProfitEcom is not responsible for the availability, changes, limitations, outages or behavior of external systems and third-party APIs.

If an external provider changes its API, terms, permissions, limits or technical behavior, this may affect the functionality of the integration or the scope of available data.

7. Google Ads and Google Analytics integrations

The customer may connect its Google Ads account or Google Analytics account or property in the application through Google OAuth authorization.

ProfitEcom uses the Google Ads API only to read data from authorized Google Ads accounts. ProfitEcom does not write changes to Google Ads accounts, does not create campaigns, does not change budgets, does not edit ads and does not manage account settings.

ProfitEcom uses the Google Analytics API only to read data from authorized Google Analytics accounts and properties. ProfitEcom does not write changes to Google Analytics accounts, does not modify property settings, does not create or change data streams, events, conversions, audiences or any other Google Analytics settings.

By connecting the Google Ads or Google Analytics integration, the customer confirms that it is authorized to connect the relevant account, property or service and make its data available to ProfitEcom.

8. Meta integration

The customer may connect its Meta advertising accounts in the application.

ProfitEcom uses the Meta Marketing API only to read advertising and performance data from authorized advertising accounts. ProfitEcom does not create, edit, pause, delete or manage campaigns, ad sets, ads, budgets, audiences or pixels.

The technical configuration of the Meta integration may require permissions related to access to advertising accounts and business assets. We use these permissions only for authorized data retrieval for the customer’s reporting and analytics.

9. Customer data

The customer is responsible for the data it provides, uploads, makes available or connects to the ProfitEcom service through integrations.

The customer is responsible in particular for ensuring that:

  • it has the right to provide or make the data available,
  • the data is accurate and proportionate in scope,
  • the data does not contain prohibited or inappropriate content,
  • the data does not infringe the rights of third parties,
  • the data does not contain special categories of personal data or sensitive data unless this has been expressly agreed in writing,
  • it complies with applicable laws, especially in the area of personal data protection.

The standard ProfitEcom data model does not require names, e-mail addresses, postal addresses or phone numbers of end customers of an e-commerce store.

If a customer identifier is needed for reporting, the customer should provide only a pseudonymized identifier and not a direct personal data item such as an e-mail address, phone number, name or postal address.

For individual implementations and custom reports, the data scope is determined by the implementation analysis, technical specification or another approved data scope.

10. Data contract and implementation analysis

For customer implementations, the data scope may be described in a data contract, implementation analysis or other technical specification.

These documents may define in particular:

  • which data sources are connected,
  • what data is retrieved,
  • what data must not be sent to ProfitEcom,
  • how the data should be structured,
  • how identifiers should be pseudonymized,
  • how often the data is retrieved,
  • what reports and outputs are created,
  • how custom data sources are handled.

The customer is responsible for complying with the agreed data scope.

11. Prohibited use of the service

The customer and the user must not use the service in a way that:

  • violates applicable laws,
  • infringes the rights of third parties,
  • endangers the security of the service,
  • circumvents technical limitations of the service,
  • attempts to gain unauthorized access to another customer’s data,
  • disrupts the operation of the service,
  • uses the service to store malicious code,
  • uses the service to process unlawful data,
  • places an unreasonable or unusual load on the service,
  • makes access credentials available to unauthorized persons.

Unless expressly agreed in writing, the following must not be provided to the service in particular:

  • special categories of personal data,
  • health data,
  • data concerning political opinions,
  • data concerning religious or philosophical beliefs,
  • criminal offence data,
  • national identification numbers,
  • children’s data,
  • passwords and access credentials of third parties,
  • payment cards,
  • other highly sensitive data.

12. Reports, calculations and analytical outputs

ProfitEcom provides analytical outputs based on the data available in the service and according to the settings of the specific implementation.

The customer acknowledges that report results may be affected in particular by:

  • the quality of input data,
  • the completeness of input data,
  • the correctness of connected data sources,
  • changes to third-party APIs,
  • delays in data availability,
  • changes in data availability or methodology in services such as Google Ads, Google Analytics, Meta or other external platforms,
  • the calculation methodology,
  • the customer implementation settings,
  • differences between source systems.

ProfitEcom strives to provide accurate and useful analytical outputs, but does not guarantee that every output will always be complete, error-free or suitable for every business decision.

Reports and analytical outputs do not constitute accounting, tax, legal, financial or investment advice.

The customer is responsible for its business decisions made on the basis of the service outputs.

13. Service availability

ProfitEcom strives to operate the service in a stable and secure manner.

Unless expressly agreed otherwise in writing, the service is not provided with a guaranteed SLA.

The service may be temporarily unavailable in particular due to:

  • maintenance,
  • updates,
  • technical outages,
  • supplier outages,
  • outages of external APIs,
  • security measures,
  • force majeure,
  • infrastructure changes.

We will try to carry out planned maintenance in a way that limits ordinary use of the service as little as reasonably possible.

14. Technical support

The scope of technical support is governed by the agreed plan, individual agreement or arrangement with the customer.

Support may include in particular:

  • assistance with application access,
  • resolving issues with reports,
  • checking data connections,
  • implementation support,
  • bug resolution,
  • report adjustments according to agreement.

ProfitEcom is not responsible for support of external third-party systems unless expressly agreed otherwise.

15. Prices, payments and subscriptions

The price of the service is governed by the current offer, order, plan, individual agreement or another arrangement with the customer.

If the service is provided as a subscription, the customer pays the price for the agreed period.

Payments may be processed through Stripe or another payment provider. ProfitEcom does not store payment card numbers.

If the customer fails to pay the service fee properly and on time, we may, after prior notice, restrict or suspend access to the service.

Prices are stated without VAT unless expressly stated otherwise.

16. Intellectual property

The ProfitEcom service, its software, interface, workflows, data models, notebooks, dashboards, methodologies, documentation, graphical elements, texts and other parts of the service are protected by intellectual property rights.

The customer receives a non-exclusive, non-transferable and time-limited right to use the service for the duration of the contractual relationship and only within the scope agreed with SUBVENTUM s.r.o.

The customer must not copy, reverse engineer, lease, sublicense, make available to third parties or use the service to create a competing service, unless expressly agreed in writing.

Customer data remains the property of the customer or the relevant authorized persons.

17. Confidentiality

Both parties undertake to protect the other party’s confidential information.

Confidential information includes in particular:

  • non-public business data,
  • technical documentation,
  • data models,
  • access credentials,
  • pricing arrangements,
  • non-public customer information,
  • infrastructure information,
  • non-public reports,
  • implementation documentation.

The confidentiality obligation does not apply to information that is publicly available, was lawfully obtained from a third party or must be disclosed based on a legal obligation.

18. Personal data protection

Details about personal data processing are provided in the Privacy Policy.

If ProfitEcom processes personal data as a processor for the customer, the Data Processing Agreement or an individually agreed data processing agreement also applies.

The customer is responsible for ensuring that it has a legal basis for providing or making personal data available to ProfitEcom.

19. Security

ProfitEcom uses technical and organizational measures to protect data and the operation of the service.

Details are provided in the Security document.

The customer is responsible for security on its side, in particular for:

  • user management,
  • protection of login credentials,
  • correct permission settings,
  • security of its own systems,
  • control over what data it sends to ProfitEcom.

20. Suspension or restriction of the service

We may temporarily restrict or suspend access to the service if:

  • the customer breaches these Terms of Service,
  • the customer fails to pay the service fee,
  • there is a security risk,
  • there is suspected unauthorized use,
  • use of the service endangers operation or data of other customers,
  • this is required by law or by a decision of a public authority.

Where the circumstances allow, we will inform the customer about the restriction or suspension of the service.

21. Termination of the service

The customer may terminate use of the service according to the agreed terms, plan or individual agreement.

After termination of the service:

  • user access to the application may be terminated,
  • active integrations will be disconnected,
  • authorization tokens will be removed or revoked,
  • customer data will be deleted or anonymized according to the rules set out in the Privacy Policy and Data Deletion documents,
  • some data may be retained for the period required by law or for the protection of legal claims.

22. Liability

ProfitEcom is liable for damage to the extent provided by applicable law and the agreed contract.

Unless expressly agreed otherwise in writing, ProfitEcom is not liable for:

  • indirect damage,
  • lost profit,
  • loss of business opportunity,
  • incorrect business decisions of the customer,
  • outages of external systems,
  • changes to third-party APIs,
  • errors in the customer’s input data,
  • damage caused by incorrect use of the service,
  • damage caused by unauthorized access arising on the customer’s side.

The total liability of SUBVENTUM s.r.o. towards the customer may be limited by an individual agreement or order.

The limitation of liability does not apply in cases where applicable law does not allow such limitation.

23. Changes to the service and these Terms

ProfitEcom is continuously developed. We may change the functions, interface, reports, data models, integrations, documentation or technical solution of the service.

We may update these Terms of Service, especially in the event of changes to the service, legal requirements, business model or technologies used.

The current version will always be available on the ProfitEcom website.

If a change is material, we may inform customers by e-mail or in the application.

24. Governing law and dispute resolution

These Terms of Service are governed by the laws of the Czech Republic.

Any disputes will be resolved before the competent courts of the Czech Republic, unless the parties agree otherwise.
